Flywheel Global Mentor APP – Terms & Conditions of Use

These Terms & Conditions (“Terms”) govern the access to and use of the Flywheel Global web and mobile application (the “App”), operated by Flywheel Global, a trade name of A&G Partners, SAS registered in France under number 839 986 429, with its head office at 30 Avenue Félix Faure, 75015 Paris, France (the “Company”).

These Terms apply to all authorized users of the App (“Users”) and complement any commercial or service agreement previously signed between the User and the Company.

1. Eligibility & Access

Access to the App is strictly limited to Users who:

• Have entered into a binding agreement with the Company;
• Have been granted access credentials by the Company.

The Company reserves the right to suspend, restrict, or terminate access at any time in the event of breach of these Terms, the underlying agreement, or in case of technical or security risk.

2. Permitted Use

The App may only be used:

• For professional purposes directly related to the Flywheel Global mentoring program;
• In compliance with all applicable laws and regulations;
• With respect for the integrity and security of the platform.

Users shall not:

• Attempt to reverse engineer, decompile, or disrupt any part of the App;
• Introduce malware or bypass security features;
• Use the App for purposes unrelated to their mentoring activity;
• Share access credentials or impersonate another User.

3. Proprietary Rights

All intellectual property rights in the App — including but not limited to the code, user interface, workflows, databases, trademarks, and content — are and remain the exclusive property of the Company.

No license or right is granted beyond personal, non-transferable, and revocable access strictly tied to the User’s relationship with the Company.

4. Data Protection & Privacy

The Company processes limited personal data to operate the App in compliance with applicable privacy regulations, including the GDPR.

Users acknowledge that:

• The Company is the Data Controller.
• The App may collect data such as usage logs, account activity, and session metadata to ensure functionality and compliance.
• Any personal data processed will be handled according to the Flywheel Global Privacy Policy (link to be provided).

5. Confidentiality

Users agree to maintain strict confidentiality regarding:

• Any proprietary tools, documents, or resources made available through the App;
• Any information relating to Mentees, Mentors, or the Company.

This obligation survives termination of access.

6. Limitation of Liability

The App is provided “as is” without warranties of any kind, express or implied. The Company shall not be held liable for:

• Temporary or permanent unavailability of the App;
• Loss or corruption of data;
• Errors, bugs, or unintended behavior;
• Indirect, incidental, or consequential damages.

The Company’s total liability, if any, shall be strictly limited to €100.

7. Account Suspension & Termination

Access may be suspended or terminated at the Company’s sole discretion:

• Upon violation of these Terms or any applicable law;
• In case of termination of the commercial agreement between the User and the Company;
• For security, legal, or operational reasons, with or without prior notice.

8. Modifications

The Company may amend these Terms at any time. Users will be notified of material changes via email or upon login. Continued use of the App following such updates constitutes acceptance.

9. Governing Law & Jurisdiction

These Terms shall be governed by French law. Any disputes shall fall under the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de Commerce de Paris).
